Standard terms and client engagement conditions for custom software development, Laravel architecture, and AI engineering services by Acelizum Technologies.
Client Service & Intellectual Property Agreement
Last updated: September 2026. These terms govern software consulting, engineering engagements, milestone delivery, and intellectual property transfers.
1. Agreement to Terms
By engaging Acelizum Technologies (Pvt) Ltd ("Acelizum", "we", "our") through a written statement of work (SOW), project scope document, or contract proposal, you ("Client") agree to be bound by these Terms of Service.
2. Scope of Services & Milestones
All software engineering, backend architecture, AI agent integration, and DevOps services are executed in accordance with a mutually agreed Scope of Work. Projects are organized into defined milestones with reviewable deliverables, ensuring transparency, testability, and continuous verification at every delivery phase.
3. Intellectual Property Rights
Client Ownership: Upon full payment of milestone fees, all bespoke source code, database schemas, custom frontend interfaces, and proprietary software developed specifically for the Client transfer fully and unconditionally to the Client.
Pre-Existing Tools & Open Source: Components utilizing third-party open-source libraries (e.g., Laravel, Vue.js, PHP packages, Python libraries) remain governed by their respective licenses (such as MIT or Apache 2.0).
4. Code Quality & Warranty Period
We deliver production-ready, clean, maintainable code backed by strict typing, automated tests, and documented architectural patterns. All bespoke deliverables include a 30-day post-launch warranty period during which any defects or bugs directly attributable to our implementation are remediated at zero additional cost.
5. Confidentiality & Data Security
Both parties agree that all confidential information, business models, user data, server credentials, and proprietary algorithms disclosed during the engagement shall remain strictly confidential. Mutual non-disclosure agreements (NDAs) execute prior to code access and survive the termination of services indefinitely.
6. Payment Terms & Termination
Invoices are issued on a milestone completion basis. Work commences following receipt of the agreed deposit or milestone initiation payment. Either party may terminate an engagement upon written notice should material breach terms occur, with fees settled proportionally for all delivered milestones.
7. Governing Law & Contact
